The company is entering an exciting phase of expansion and is seeking a highly strategic Vice President of Tax to lead all tax-related aspects of domestic and international transactions, acquisitions, investments, and global structuring initiatives. This executive-level position will partner closely with senior leadership, corporate development, finance, legal, and external advisors to support continued growth across multiple jurisdictions.

Position Overview

The Vice President of Tax will serve as a key advisor on complex tax matters involving mergers and acquisitions, cross-border operations, intellectual property ownership structures, financing arrangements, and international expansion activities. This individual will be responsible for identifying tax-efficient strategies, assessing transaction risks, and ensuring alignment between tax planning and broader business objectives.

The ideal candidate brings extensive experience in transaction tax, international tax planning, and corporate structuring within high-growth, acquisitive organizations. Experience supporting businesses with significant intellectual property assets, digital revenue streams, media operations, technology platforms, or entertainment-related activities is highly desirable.

Key Responsibilities

  • Lead tax planning and execution for domestic and international acquisitions, strategic investments, joint ventures, reorganizations, refinancings, and divestitures.
  • Advise corporate development and legal teams on transaction structuring, due diligence findings, and post-close integration matters.
  • Evaluate tax implications related to intellectual property ownership, royalty arrangements, transfer pricing, and cross-border operating structures.
  • Design and implement tax-efficient frameworks to support global growth initiatives and international expansion.
  • Provide guidance on complex commercial transactions and emerging business initiatives.
  • Assess transaction-related tax risks and opportunities, including historical exposures, cash repatriation strategies, entity structuring considerations, and potential double-taxation issues.
  • Manage relationships with external tax advisors, legal counsel, and audit firms across multiple jurisdictions.
  • Monitor legislative and regulatory tax developments and advise leadership regarding potential business impacts.
  • Partner with executive leadership on tax forecasting, scenario modeling, and strategic decision-making.
  • Collaborate with finance and accounting teams regarding acquisition-related tax reporting and restructuring implications.
  • Establish scalable tax processes, governance practices, and internal controls to support continued organizational growth.
  • Participate in special projects and strategic initiatives as needed.

Qualifications

  • Bachelor’s degree in Accounting, Finance, Tax, or a related discipline.
  • CPA, JD, and/or Master’s in Taxation strongly preferred.
  • Approximately 12+ years of progressive tax experience, including significant involvement in M&A transactions and international tax planning.
  • Prior experience supporting private equity-backed organizations and sponsor-driven acquisition activity highly preferred.
  • Demonstrated expertise preparing tax analyses related to acquisitions, recapitalizations, restructurings, and liquidity events.
  • Combination of public accounting and corporate tax leadership experience is preferred.
  • Strong technical knowledge of U.S. federal and international tax regulations, transfer pricing, legal entity structuring, and cross-border transactions.
  • Experience supporting transactions across multiple countries and jurisdictions.
  • Ability to communicate complex tax concepts to executive and non-technical stakeholders.
  • Strong financial modeling, analytical, and transaction execution capabilities.
  • Background supporting technology, digital media, entertainment, content, software, intellectual property, or similarly complex business models is advantageous.
  • Proven track record operating successfully in a fast-paced, entrepreneurial, and high-growth environment.
  • Excellent executive presence, communication, and stakeholder management skills.
