Responsibilities

Formally part of the global finance team, reporting to the CFO, this position also has exposure to multiple deal teams, offshore and onshore investors, and senior leadership within other group entities.

The US Tax Director will assist with US transactions from inception to divestment and will work very closely with deal teams and external advisors to ensure that the tax impacts are thoroughly understood and managed throughout the investment life cycle. The role will also work closely with the European tax director

As the sole Tax resource in the US business, in addition to supporting deal flow and structuring portfolio investments, this role has responsibility for meeting, with the help of outsourced compliance support, annual tax reporting and filing deadlines. The individual will perform final review and provide sign off for the U.S. tax filings as well as provide direction and supervision to the fund accounting staff to facilitate their supporting role in the review of tax compliance matters.

Compliance and reporting

  • Managing all tax related matters for the US advisory group, US Funds, and holding companies.
  • Oversight / review of outsourced compliance and reporting including
    • Fund tax compliance, e.g., partnership, GP and Holdco tax filings in the USA
    • Partnership and Corporate tax filings for the advisory group in the USA
    • Investor reporting for US team and third-party LPs
  • Managing the relationship with external advisors with respect to the above and relationships with tax authorities in multiple jurisdictions
  • Reviewing US transfer pricing policy and related workstreams
  • Responsible for Tax risk, along with European Tax Director
  • Supporting the wider group with ad hoc FATCA/ CRS matters
  • Providing ad hoc tax advice to various teams within the business, e.g., statutory accounts, employee matters
  • Making suggestions to the CFO how Bregal can improve tax operational effectiveness and consistency through process, technology etc,
  • Keeping up to date with all relevant areas of tax law and practice

Advisory

  • Ongoing consulting advice, advising the US business units on tax implications of new investments, financing/re-financing, mergers and monitoring the corporate structure to manage tax risks
  • Advising on BPEP fund of fund transactions and assisting with ad hoc questions
  • Ad hoc support to the European Tax Director with M&A transactions in Europe related to US matters

Knowledge and experience

  • Proven success as a Tax Director, or Tax Leader, in a business facing position with US tax advisory and compliance expertise
  • Demonstrable experience of providing tax advice in a fast-paced M&A environment, including working closely with investment deal teams
  • Private equity funds tax compliance experience
  • Strong US tax experience
  • Project management experience
  • Tax risk management experience
  • Tax modelling experience, an advantage
  • Tax considerations for in-bound investments by non-US investors – ECI, FIRPTA, WHT, working with tax treaties
  • Tax considerations for tax exempt investors – UBTI, UDFI
  • Familiarity with Season & Sell credit fund structures
  • Thorough understanding of carried interest tax rules and reporting methodology
  • Experience in the review, implementation and documentation of transfer pricing arrangements advantageous
  • International outlook, with operational understanding of fund and investment holding structures
  • Can do pro-active approach with ability to manage multiple tax workstreams in a demanding environment and can act on own initiative
  • Excellent interpersonal, verbal and written communication skills, ability to explain complex tax issues to the business in simple terms
  • Ability to build strong working relationships with colleagues at all levels across the organisation
  • Professionalism, integrity and a strong work ethic with dedication to the position and the firm
  • Help build and maintain a reputable, trusted and respected tax team, by establishing credibility with business units and being visible, responsive and co-operative across the business
