Responsabilities

  • Develop tax-efficient acquisition divestment and project financing structures, model tax assumptions with respect to a transaction, review agreements and assist with due diligence to quantify tax exposure
  • Structure tax efficient renewable energy partnerships and review legal documents, tax and financial models including taxable income computations, other tax assumptions, tax basis and capital accounts. Work directly with outside tax advisors on renewable energy partnership formation and potential acquisitions, including contributing to the selection process, budgets, deliverables and confirming conclusions
  • Conduct specialized tax research, interpret tax laws, develop recommendations and draft complex transactional step plans that incorporate the tax effects of the transaction
  • Work with outside tax advisors at law firms and accounting firms to analyze and document complex tax issues
  • Monitor tax legislation and communicate its potential risks and impacts, including assisting with incorporating tax law changes into tax and financial models
  • Look for opportunities to scale efficiencies and new ways of working across multiple projects
  • Work with the business development team on developing the company’s renewable energy pipeline and provide tax support for the investment decision process
  • Advise on tax optimization strategies, such as ITC monetization, tax costs impacting asset valuations, partnership structuring, and negotiations for renewable project portfolios
  • Review and advise on the tax implications of power purchase agreements and hedges
  • Lead, coordinate or participate in executing special projects as necessary

Qualifications

  • Bachelor’s degree with a major in accounting or related field required
  • Master’s degree in taxation or JD with LLM in taxation preferred
  • CPA or licensed attorney required
  • Minimum of seven (7) + years’ of Business or Finance Experience Required
  • Minimum of five (5) + years’ of progressive federal tax consulting and compliance experience required preferably with a public accounting firm or law firm
  • Previous experience in tax due diligence and merger and acquisitions tax consulting preferred
  • Renewable energy industry experience preferred
  • Strong knowledge of technical US tax aspects of partnerships, corporate reorganizations, mergers and acquisitions (M&A), investments, divestments, financing and monetary repatriation, from tax planning through implementation. Tax knowledge and experience in renewable energy is a plus
  • Significant experience conducting project financing partnership structures, buy and sell-side tax due diligence projects; design and development of transaction structures using both corporate and pass-through entities; assessment of corporate tax attributes including historical tax basis, earnings and profits, and limitations applicable to net operating losses and tax credits, post-transaction planning including legal entity rationalization and application of consolidated return regulations
  • Superior analytical, technical, and tax accounting/technology skills, coupled with excellent written, interpersonal and presentation skills, as well as a proven ability to adapt to different situations
  • Proficient with tax software, tax research tools and Microsoft Office Suite, with emphasis on Word, Outlook, PowerPoint, and Excel
