Head of US Tax
The VP Tax will be responsible for the following within the North America region:
- Leading the NA tax team and overseeing all aspects of the NA tax function
- Supporting the Group Tax Director in relation to all NA tax matters
- Overseeing compliance with the tax governance framework (tax policies and procedures)
- Keeping abreast of changes in tax laws in the region (including Pillar 2) providing updates and recommendations to the Group Tax Director and senior management
- Researching and understanding complex tax matters and developing creative solutions to reduce tax liabilities
- Providing support to the Mergers and Acquisitions team on deals including due diligence review, optimal acquisition structuring / funding and review of SPA, tax deeds and warranties and indemnities
- Leading tax project work such as disposal structuring, corporate restructuring, legal entity rationalisation, and post-acquisition integration
- Responsible for reviewing / maintaining the tax status of the US captive insurance business
- Managing / forecasting the effective tax rate, cash tax, North America tax reporting and provision process, ensuring SOX compliance in relation to tax matters and dealing with external auditors
- Accountable for tax compliance ensuring that accurate tax returns are filed on time and all tax laws are complied with. This includes federal, state and city compliance for all regions which will largely be done in house for the USA and is outsourced in Canada
- Responsible for sales and use tax compliance in the USA which is done in house as well as other compliance matters (unclaimed property, business licences, property taxes). Ensure that Canadian GST/PST/HST/QST returns are timely filed by local Canadian resources
- Working closely with the Group Tax Director and treasury team to ensure the tax efficient funding of the US subgroup and advising on profit repatriation and complex financing transactions
- Ensuring that there are appropriate transfer pricing policies and documentation in place
- Providing guidance and other assistance to the HR Payroll and Employee Compensation groups, as needed, regarding employment tax credits, payroll tax issues and taxation of compensation and benefits
- Managing all tax information reporting, foreign bank account reporting, and excise tax requirements including providing accurate Form W-9s to customers
- Providing guidance and assistance to the Accounts Payable Department for information reporting, such as Forms 1099, Forms W-8s, etc.
- Managing and developing the tax team. Building a high performing tax function with the capability and structure required to provide effective support to the business
- Actively grow capability in tax and build a strong pipeline of tax talent with appropriate succession planning and retention strategies
- Establish a high level of credibility and manage strong working relationships with external parties in particular tax advisors and consultants
- Managing relationships with tax authorities. Negotiating favourable settlements of tax audits and disputes
- Reviewing tax processes and interactions with other functions / businesses with a view to identifying opportunities for efficiencies through process improvement, document standardisation and implementation of new technologies
