Real estate asset manager and fund clients

This is a role that primarily comprises acting as outsourced Head of Tax for a well-known real estate asset manager and developer group (the ‘AM’) and the funds that it advises. The funds, of varying sizes, are actively acquiring, developing and disposing of real estate assets and property backed entities. The AM is also actively creating new fund structures in the form of UK and non-resident companies, joint ventures, unit trusts, LLPs and LPs. New and innovative structures are under consideration, depending upon the needs of potential investors. Capital is increasingly raised from UK and offshore family offices, private equity partnerships and funds and substantial international institutions.

The role, in relation to both the AM and the funds, is to:

  • review proposed transactions and work with the AM and other professional firms to provide practical support by way of commentary, back-up information and calculations to put into effect recently implemented transactions;
  • oversee the ‘onboarding’ of new acquisitions and structures to ensure they are ready to meet their tax compliance obligations;
  • oversee tax reporting in the statutory and other accounts and dealing and liaising with a variety of large firm auditors on these matters;
  • oversee corporation tax compliance;
  • working with VAT Director, overseeing VAT compliance and advisory services (from a service quality rather than a technical perspective);
  • provide ad hoc advice on UK tax issues identified by our clients teams or raised by the AM and funds;
  • manage special projects, such as tax due diligence projects, for which some accounting expertise is needed, working alongside the clients audit colleagues where financial input is required, and advice on SDLT, CIS and ATED;
  • oversee the whole tax relationship, working with a wide stakeholder group connected to the AM and funds: there is frequent interaction with the Finance and Transactions director (the main stakeholder on tax matters for the AM), AM Group Finance director, fund accountants both within the AM and outsourced accounting teams as well as Finance Directors (and their teams) responsible for managing the major sub-groups within the funds;
  • work closely with this firm’s partners to manage the firms working capital matters arising from the AM and the funds.

Other clients

Our clients client base has a heavy real estate focus. As such, the role also includes leading on real estate tax services to other clients, supporting other tax and audit colleagues as necessary.

  • From their connection with the AM, some groups that have been sold by the funds continue to use our client for tax services. This includes corporation tax compliance and advice in relation to an equity release company, VAT compliance and advice and tax accounting work for a residential property REIT (gross assets >£2bn), and VAT compliance and advice for a REIT owned ‘big box’ developer.
  • The role includes providing ad hoc advice (and some tax compliance services) to offshore investors in UK property, investing either through non-resident private companies or fund structures.
  • Other real estate related clients will involve matters that cross into the private client team’s remit, such as transfer of family shareholdings, family partnerships profit extraction and IHT. This will require you to think and collaborate more widely about how best to serve the client’s wider interests.
